Last updated: October 25, 2026

1. Introduction

Welcome to Workhu ("Workhu," "we," "our," or "us"). We provide creative, branding, design, development, and digital services to businesses, organizations, and individuals.

These Terms & Conditions govern your access to and use of our website, communications with our team, and any services we provide under an agreed proposal, quotation, statement of work, or service agreement.

By using our website, submitting an enquiry, approving a proposal, or engaging Workhu for services, you agree to the applicable terms outlined in this document and any separate written agreement governing your project.

If a separate signed agreement conflicts with these Terms, the signed agreement will prevail for the specific matters it addresses.

2. Our Services

Workhu may provide services including, but not limited to:

  • Brand strategy, brand identity, and visual identity design.
  • Logo design, typography, and brand guidelines.
  • UI/UX research, strategy, and interface design.
  • Website design and website development.
  • E-commerce website design and development.
  • Web applications, software interfaces, and digital product development.
  • Website maintenance, improvements, and technical support.
  • Creative direction, digital marketing design, and related digital services.

The exact services, deliverables, timeline, fees, revision limits, and responsibilities applicable to a project will be specified in the relevant proposal or written agreement.

We reserve the right to decline requests that fall outside our expertise, available capacity, ethical standards, or agreed scope.

3. Project Proposals and Acceptance

Before commencing a project, Workhu may provide a proposal, quotation, or statement of work describing the services to be delivered.

A project becomes active when the client has accepted the proposal in writing, completed any required initial payment, and supplied the information reasonably necessary to begin work.

Electronic acceptance, including approval by email or another agreed written communication channel, may constitute acceptance where legally valid.

Any changes to the agreed scope, deliverables, pricing, or schedule must be approved in writing by both parties.

4. Client Responsibilities

Clients agree to:

  • Provide accurate project information, requirements, content, assets, and brand materials.
  • Appoint an authorized person to provide feedback and approve deliverables.
  • Respond to requests for information, feedback, and approvals within a reasonable timeframe.
  • Ensure that supplied text, images, videos, fonts, trademarks, and other materials may lawfully be used for the project.
  • Obtain permissions, licenses, consents, and approvals required for materials they provide.
  • Make payments according to the agreed schedule.
  • Maintain appropriate backups and access credentials for their own systems, unless otherwise agreed.
  • Review deliverables and notify Workhu of material issues within a reasonable period.

Delays caused by missing information, late feedback, unavailable approvals, or client-side technical issues may affect the project timeline and delivery date.

5. Scope of Work and Additional Requests

Workhu will deliver the services expressly included in the approved proposal or statement of work.

Requests for additional pages, features, integrations, concepts, deliverables, functionality, or substantial changes to previously approved work may be treated as additional work.

Additional work may require a revised quotation, additional fees, and an updated delivery schedule. Workhu is not obligated to begin out-of-scope work until the relevant terms have been agreed in writing.

6. Revisions and Approvals

The number and type of revisions included in a project will be specified in the applicable proposal.

Unless otherwise agreed, a revision means a reasonable adjustment to an existing concept or deliverable within the original approved scope. A complete change of direction, replacement of an approved concept, or addition of new functionality may constitute additional work.

Clients are responsible for reviewing deliverables and communicating consolidated feedback.

Once a deliverable or project milestone has been approved in writing, subsequent changes may incur additional fees.

7. Fees, Deposits, and Payments

Project fees and payment milestones will be stated in the relevant proposal, invoice, or agreement.

Depending on the project, payment may be structured as an initial deposit, milestone payments, recurring fees, or a final balance.

Unless otherwise stated in writing:

  • Workhu may require an initial payment before reserving project capacity or beginning work.
  • Invoices must be paid by the due date shown on the invoice.
  • Workhu may pause work if an invoice becomes overdue after providing reasonable notice.
  • Project timelines may be adjusted to account for payment-related pauses.
  • The client remains responsible for approved work and authorized expenses incurred before a project is paused or terminated.
  • Applicable taxes, transaction fees, or other charges will be handled as specified in the proposal and applicable law.

Workhu will communicate material payment concerns to the client and may withhold final deliverables, production deployment, or transfer of rights to the extent permitted by the applicable agreement and law until outstanding amounts are paid.

8. Third-Party Services and Expenses

A project may depend on third-party services, platforms, software, plugins, themes, APIs, stock assets, fonts, hosting providers, domain registrars, or payment processors.

Unless expressly included in the proposal, these costs are not included in Workhu's service fees.

Third-party services may have their own pricing, licensing requirements, usage restrictions, privacy policies, and terms of service. The client agrees to comply with those terms where applicable.

Workhu is not responsible for third-party outages, changes in pricing, discontinued services, security incidents outside its reasonable control, or changes made by third-party providers.

Any third-party costs approved by the client remain payable according to the agreed arrangements.

9. Intellectual Property and Ownership

Each party retains ownership of its pre-existing intellectual property, tools, processes, software, templates, know-how, and proprietary materials.

Subject to full payment of all amounts due for the applicable project, Workhu will transfer or grant the client the rights to the final deliverables as expressly described in the relevant proposal or agreement.

Where no separate ownership arrangement has been agreed, the client will receive the rights in the final, specifically commissioned deliverables to the extent legally transferable, excluding:

  • Workhu's pre-existing materials, frameworks, tools, and internal processes.
  • Third-party assets subject to separate licenses.
  • Open-source software subject to its applicable license.
  • Unselected concepts, unused drafts, and working files not expressly included in the agreed deliverables.
  • General skills, methods, and know-how used to produce the work.

Any assignment of copyright or other intellectual property rights will take effect only to the extent permitted by law and subject to the applicable written agreement.

Source files, editable files, repositories, design systems, documentation, and development environments will be delivered only when included in the agreed scope or separately approved.

10. Portfolio and Publicity

Unless otherwise agreed in writing, Workhu may identify the client and display publicly released project deliverables in its portfolio, website, presentations, and marketing materials for the purpose of showcasing its work.

Workhu will not intentionally publish confidential information, unreleased materials, or private project data without the client's permission.

Clients who require confidentiality, anonymity, or a delayed portfolio release must notify Workhu in writing before the relevant materials are published.

11. Confidentiality

Both parties agree to use reasonable care to protect confidential information received from the other party and to use that information only for purposes connected with the engagement.

Confidential information does not include information that is publicly available through no breach of this agreement, already lawfully known to the receiving party, independently developed without using confidential information, or lawfully obtained from another source.

Disclosure may be made when required by law, regulation, or a valid legal order, subject to applicable legal requirements.

Confidentiality obligations will continue after the project ends for as long as the information remains confidential under applicable law or the relevant agreement.

12. Timelines and Delivery

Workhu will make reasonable efforts to meet the timelines agreed with the client.

Estimated delivery dates are based on the approved scope, timely feedback, required access, content availability, and payments being made when due.

Workhu is not responsible for delays caused by the client, third-party providers, force majeure events, or circumstances beyond its reasonable control.

If a delay materially affects a project, both parties should communicate in good faith to agree on a revised timeline where appropriate.

13. Warranties and Results

Workhu will perform its services with reasonable professional care and skill.

Unless expressly guaranteed in a separate written agreement, Workhu does not guarantee specific commercial outcomes, including sales, revenue, conversions, search engine rankings, advertising performance, audience growth, or business profitability.

Design preferences are partly subjective. Workhu will use the agreed brief and approved direction as the basis for evaluating deliverables.

The client remains responsible for verifying that the final deliverables meet its operational, regulatory, and business requirements.

14. Website Use and Acceptable Conduct

You agree not to:

  • Use our website for unlawful, fraudulent, or misleading purposes.
  • Attempt unauthorized access to our website, systems, or accounts.
  • Distribute malicious software or interfere with website operations.
  • Copy, reproduce, or exploit website content in violation of applicable intellectual property rights.
  • Submit false information or misuse our enquiry forms or communication channels.

We may restrict access to our website where reasonably necessary to protect our systems, users, or legal interests.

15. Suspension and Termination

Either party may request termination of a project in accordance with the applicable written agreement.

If a project is terminated, the client remains responsible for fees for work completed, approved milestones, authorized expenses, and other amounts payable under the agreement, subject to applicable law and any agreed cancellation or refund terms.

Workhu may suspend or terminate services for material breach, persistent non-payment, unlawful requests, abusive conduct, or circumstances that make continued performance unreasonable or unlawful. Where appropriate, the affected party will be given written notice and a reasonable opportunity to remedy the issue.

Upon termination, the parties will address outstanding payments, deliverables, access, confidential information, and any transfer of rights according to the applicable agreement.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Workhu will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from the engagement.

To the maximum extent permitted by law, Workhu's aggregate liability arising from a particular project will not exceed the fees paid or payable to Workhu for that project during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including any mandatory consumer rights or liability for fraud where applicable.

17. Indemnification

To the extent permitted by law, the client agrees to be responsible for third-party claims arising from materials supplied by the client that infringe third-party rights, unlawful instructions provided by the client, or the client's misuse of deliverables.

This provision does not apply to the extent a claim results from Workhu's own breach, unlawful conduct, or other circumstances for which the client cannot lawfully be held responsible.

18. Force Majeure

Neither party will be responsible for a delay or failure to perform caused by events beyond its reasonable control, including natural disasters, widespread outages, government actions, war, civil unrest, labor disruptions, or major third-party service failures.

The affected party will notify the other party when reasonably practicable and take reasonable steps to reduce the impact.

19. Governing Law and Disputes

These Terms are subject to the laws applicable to the Workhu contracting entity identified in the relevant proposal or agreement, unless mandatory law provides otherwise.

The parties will first attempt to resolve disputes through good-faith discussions. If the dispute cannot be resolved informally, either party may pursue remedies available under applicable law.

Nothing in this section removes any mandatory rights a consumer may have under applicable law.

20. Changes to These Terms

Workhu may update these Terms from time to time to reflect changes in its services, business practices, or legal requirements.

The updated version will be published on this page with a revised "Last Updated" date. Changes will apply prospectively where required by law. Existing projects will remain subject to their signed agreements and applicable mandatory law.

21. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

These Terms, together with the applicable proposal, statement of work, and any signed agreement, form the agreement governing the relevant services.
